Two Approval Paths, a Seamless Flow

Every related party transaction takes one of two paths. Transactions pre-approved under an omnibus approval integrate all compliance, approval and disclosure norms automatically when found in the ERP or Accounting system flowing seamlessly into LODR reporting. Transactions outside an omnibus approval are routed to the right approval audience – audit committee or beyond – with the right disclosures – minimal, simplified or enhanced – before execution. Affinisio(RPT) guides your team for compliances and governance automatically.

Two Affinisio(RPT) paths — ERP to auto-identified transactions and omnibus approval, and pre-approval to approved and executed — converging on reporting and consolidation

Omnibus Approvals for RPTs Handled

Reports of limit utilisation, parties and relationships, with Ind AS 24 disclosure reports consolidating in parallel from the same financial inflow – Affinisio(RPT) is your superpower against manual data collation.

Affinisio(RPT) FAQs

What is Affinisio(RPT)?

Affinisio(RPT) is the related party transaction management application of the Affinisio suite – your centralised hub for management, approval, governance, consolidation and reporting of related party transactions. From related party database to RPT register all integrated into one workflow automation. Audit committee or shareholder approvals integrated with regulatory reporting, all in one system. Centralised management of compliance for SEBI LODR, the Companies Act 2013 and Ind AS 24 consolidated from the same financial inflow, integrated with your ERP system. Affinisio(RPT) is deployed on-premises or in your own private cloud, with your related party data always under your control.

How does Affinisio(RPT) support SEBI LODR Regulation 23 compliance?

Affinisio(RPT) manages the complete SEBI LODR Regulation 23 workflow with every transaction identified against your centralised related party register and routed through the right approval path up to Parts A, B & C of the SEBI LODR reports, with fully automated step-by-step guidance on the approval requirements as well as disclosure requirements. Track against existing omnibus approvals, or be guided to the audit committee, and to shareholders where materiality thresholds are crossed – before execution. Materiality thresholds, including the stricter company-specific thresholds a listed entity may set for itself, are self-configurable, and Regulation 23 disclosure reporting is generated from the same transaction records.

Can Affinisio(RPT) obtain Omnibus approvals or just record them?

Both. Affinisio(RPT) is built to obtain omnibus approvals, not merely record them: proposed omnibus approvals are structured with their thresholds and limits and routed to the audit committee for approval. Once in force, every transaction raised under an omnibus approval is automatically tracked against it, with utilisation visible and pre-verified at all times, and transactions outside an omnibus approval routed for prior approval before execution. If you are using Affinisio(CMM) the audit committee membership will be inherited automatically. What’s more, you can even place your quarterly utilisation reports for review of the Audit Committee in Affinisio(CMM), keeping everything end-to-end within the Affinisio suite.

Does Affinisio(RPT) support Ind AS 24 related party disclosures?

Yes. Affinisio(RPT) manages Ind AS 24 disclosure requirements in parallel with SEBI LODR and Companies Act 2013 compliances. From the exact same financial inflow, Ind AS compliances consolidate into their own dedicated set of reports, so accounting disclosures and listing obligations are each produced in the form their framework requires, without duplicate data entry or a separate reconciliation exercise.

Does Affinisio(RPT) work with our existing ERP?

Yes. Affinisio(RPT) sits on top of, and apart from, your ERP, CBS, LMS or Accounting system – you do not need to adopt a new accounting or transaction management suite to manage related party transactions. Integration with SAP, SAP-HANA, Oracle, Microsoft Dynamics 365, Tally and all other leading enterprise accounting and transaction management solutions is supported with our universal connectivity standards, and Affinisio(RPT) comes with a one-time implementation service enabling seamless, on-premises integration with your internal systems. For banks and NBFCs, the integration layer is connectable to a bank’s core banking system (CBS) or an NBFC’s loan management system (LMS) – such as Finacle, BaNCS, Flexcube, FinnOne Neo, Lentra or others – to pre-approve transactions as well as consolidate reporting on a post-execution basis. With the two-way sync enabled, a purchase order, invoice, loan sanction or other transaction with a related party remains on hold in your transaction system until the pre-approval confirmation is received from Affinisio(RPT). Transactions flow in their dedicated systems and identification, tracking, approvals, governance, consolidation and reporting happen in Affinisio(RPT), with each system doing its dedicated job instead of creating fractures.

Can Affinisio(RPT) reconcile transactions at a group level?

Yes. Affinisio(RPT) can optionally consolidate and reconcile the transaction legs at the group level, so intra-group transactions are matched, mismatches surface for review, and there are no erroneous deviations in the reporting across entities.

How does Affinisio(RPT) identify related parties?

Affinisio(RPT) maintains a centralised, continuing related party register in which every relationship is tracked in point-in-time terms – because the nature of a relationship can change, and compliance depends on what it was when the transaction took place. In addition to all types of entity relationships, directors, promoters and the promoter group, other KMPs, their relatives and other financial relationships are integrated at the individual level, with multi-level tracking and tracing across shareholding and management structures, and deemed related parties added alongside those under the Companies Act 2013 and the applicable accounting standards.

Does Affinisio(RPT) support the RBI directions on lending to related parties?

Yes. For banks, NBFCs and other regulated entities, Affinisio(RPT) extends the same governance to the RBI’s directions on lending to related parties, effective April 2026 – board and designated-committee approvals of related party exposures, materiality thresholds maintained under your own policy, point-in-time identification of the expanded set of related parties (promoters, directors, KMPs and their relatives, and entities under significant influence), and the disclosure of aggregate related party arrangements in financial statements. The same centralised register and approval workflows serve the RBI framework alongside SEBI LODR and the Companies Act 2013.

Can Affinisio(RPT) be deployed on-premises?

Yes. Affinisio(RPT) is designed for fully internal deployment, on-premises or in your own private cloud, so your related party database, transaction records, approvals and reports never leave your control. ERP integration is likewise implemented on-premises through the one-time implementation service, keeping the entire compliance workflow inside your perimeter.

Which markets does Affinisio(RPT) serve?

Affinisio(RPT) serves India, Australia, New Zealand, South Africa, the United Kingdom, Sri Lanka, Ireland, Singapore, Malaysia, Saudi Arabia, the United Arab Emirates and the United States of America as its primary markets and can also service organisations in Canada, Jamaica, Bermuda, The Bahamas, the Cayman Islands, Switzerland, the Netherlands, Malta, Cyprus, Hong Kong SAR, the Philippines, Fiji, Nigeria, Kenya, Ghana, Mauritius, Botswana, Namibia, Zimbabwe and Uganda. Affinisio(RPT) is deployable globally.

Now that beneficial interest has been transferred, can transactions involving a promoter be excluded from Related Party Transaction compliances?

Simply because the beneficial interest in shares has been transferred or sold, does not mean that transactions with the entity involved can be excluded from Related Party Transaction compliances.

Can a related party transaction with individuals or entities be identified under multiple categories?

Related party transactions with individuals or entities cannot be identified under multiple categories in the Shareholding Pattern.

Do Related Party Transaction compliances apply to promoter or group not holding any share(s) in the listed entity?

Should entities be considered in the Promoter category directly as a related party even if such person is not holding any share(s) in the listed entity but is only a part of the Promoter Group category

For Related Party Transaction compliances, can the listed entity self-define the criterion to determine what is a material subsidiary under SEBI LODR?

The confusion may be caused by the allowance for listed entity to formulate a policy for determining material subsidiary that would impact related party transaction compliances.
