Disclosure Management and Reporting Software: Declarations Inward, Filings Outward, One Permanent Record

Affinisio(DMR) is disclosure management and reporting software for the disclosure declarations your organisation receives inward and the disclosure filings it makes outward. Automate the declarations to be received from employees, directors, Board members and KMPs (holdings, interests, conflicts, relationships and directorships), and the outward filings to exchanges, regulators and statutory authorities. Each is a permanent searchable record, because the next filing will ask about the last one.

Every Regulatory, Statutory and Policy Disclosure

Disclosures Your Organisation Makes to Regulators, Authorities and the Public

Manage, track, review, trigger and evidence every regulatory, statutory and policy disclosure your organisation makes: to exchanges, regulators, statutory authorities and the public at large (for India, for example, SEBI, RBI and the Exchanges). Affinisio(DMR) runs the obligation to completion and keeps the record, because the next filing will ask about the last one.

Every Disclosable Matter in One Place
Affinisio(DMR) is your central hub for every disclosable matter: financial, legal, regulatory and statutory, promoter and KMP related, revenue or loss events, voluntary, climate and sustainability.
Obligations, Categorised
Categorise every disclosure obligation: recurring events, regular transactions that carry heightened disclosure requirements, one-time events, and events outside the normal course of business.
Documents and Deadlines, Together
Each disclosure event carries its own intent, perspective, impact and format. Centralise every associated document against its obligation, with the due dates and a forward view of what is coming.
Execution, Evidenced
Affinisio(DMR) tracks every submission obligation to completion and holds the evidentiary proof. Where filing is by email it transmits for you; for portal or hard-copy filings it prepares and evidences.
Drafting and Review up to Execution
Disclosures pass through the right hands before they are filed. Affinisio(DMR) carries each one through drafting, expert review, finalisation and execution, so the trail survives long after the filing.
Cross-Departmental Coordination
Gather inputs on any matter in one place. Finance, Legal, Compliance, Sales, Credit or Treasury contribute their cross-functional expertise centrally, seamless and streamlined.
One Event, Many Recipients
The same disclosable event is often owed to several authorities and stakeholders at once, each in its own form and context. Manage every one from one record, without re-entering anything.
Every Audience, in Its Own Form
Disclosure content varies significantly across recipients. Seamlessly manage disclosures to creditors, regulators, committees, shareholders or the public at large with Affinisio(DMR).
Fines, Penalties and What Came Before
Fines, penalties and observations get asked about again, by a different authority, in a later filing. Affinisio(DMR) holds them all on one permanent, searchable record with the disclosures.
People Change, Entity Obligations Stay
No matter the event, matter, financial year or person managing disclosures, Affinisio(DMR) provides a permanent, fully internal, demonstrable and centrally accessible repository of every disclosure.

Trigger and Forget: Every Declaration from Employees to Organisations, Recorded to Completion

A trigger-and-forget system for every declaration owed by every employee, director, Board member and KMP. Intimation, guidance, reminders, collection, tracking and report aggregation, all automated.

Where a declaration feeds a statutory register, Affinisio(DMR) updates the register from it, so the same facts are never typed twice.

Every Declaration Form, Centrally Held
Affinisio(DMR) is your central hub for every declaration employees, directors and KMPs make: holdings, exposures, interests, conflicts, relationships, directorships and everything in between.
Recurring and Event-Driven
Trigger every obligation: recurring annual declarations, and event-driven disclosures raised by new appointments, transactions or relationships, each checked against its own defined format.
Tag, Trigger and Target the Right People
Tag people once in the people directory: the judgement is categorised through tags, not person by person, and the relevant disclosure obligation then goes to everyone carrying it. No one missed.
Followed Up to Closure
Affinisio(DMR) tracks each triggered obligation to closure with automated reminders and follow-ups, and options to escalate any disclosure obligations that remain outstanding.
Compliance Completion Reports, On Demand
Know instantly who has and has not disclosed. Affinisio(DMR) generates a live Compliance Completion Report for every obligation, with full reminder and follow-up trails through to completion.
Compared Against Previous Declarations
Every prior declaration is held in Affinisio(DMR), so each new one can be read against the last. Look up what a person has updated or changed, without a document to compare by hand.
Connected Persons, Not Free Text
Obligations extend beyond employees, directors, Board members and KMPs to their connected persons, each of whom can be held as a linked record, not as simple free text in a form.
Confidential by Design
Employee disclosures carry sensitive personal and financial information. Affinisio(DMR) keeps every submission fully internal, access-controlled and visible only to those who need it.
Collated Without the Collating
Fully automate the year-round effort of collating who disclosed what and when. Need every director’s interest declarations for the past year immediately? Affinisio(DMR) has you covered.
Records Outlast People Changes
No matter who joins, moves or leaves, and when, Affinisio(DMR) preserves a permanent, fully internal record of every person, obligation, declaration and completion.

Features

From Fragmented Disclosure Processes to One System of Record with Affinisio(DMR)

Disclosure requirements arrive from more regulators, and from more directions, every year. Most organisations still meet them with spreadsheets, email and endless chasers, with compliance status and the actual inputs spread across multiple people, drives, files and locations. That is as true of the declarations owed by employees, directors, Board members and KMPs as it is of the filings owed to exchanges, regulators and statutory authorities.

Left to run that way, disclosures arrive late, incomplete, or without the evidence behind them. Delays, penalties and regulatory observations are themselves disclosable, so each one becomes the subject of the next filing.

Affinisio(DMR) is disclosure management software for the declarations received and the filings made, built with on-ground international experience.

Disclosure Events, Sources, Matters

Pre-define and organise every type of disclosure obligation centrally: statutory, regulatory, policy and voluntary, including climate and sustainability disclosures, each held for automated review and departmental oversight against the underlying event.

Disclosure Event Life-Cycle

From the event to the record: Affinisio(DMR) tracks the disclosure obligation through drafting, review, finalisation and submission, holds the evidence, and updates the statutory register from it. What was disclosed once is carried forward, not typed again.

Right Disclosures for the Right People

Auto-match and trigger the right disclosure obligation to the right person. Tag people once by role, function or relationship, and every obligation carrying that tag reaches everyone who owes it, connected persons included.

Audit-Ready Reports and Archives

Affinisio(DMR) permanently and securely holds the history of every disclosure, inward and outward, with its reviews, reports, completion proofs, details and dates. Fines, penalties and observations sit alongside them, held in full or as a reference, at your election.

Intimate, Guide, Remind, Track

Select the categories of persons and the due dates, and let Affinisio(DMR) do the rest. Intimations, guidance and reminders go out from your own mail domain and run to completion, escalating where a declaration stays outstanding. Completion status is always at the Compliance Officer’s fingertips.

Expand the List of Disclosures at Will

Supplement, customise and expand the pre-provided list of disclosures for any regulation, statute or class of persons. Or combine seamlessly with dedicated Affinisio apps for insider trading disclosures, outside business activities, gifts and entertainment, and related party transactions. Holding multiple group entities, with their obligations kept apart, is available as a customisation.

Fully Internal and Controlled

Disclosure events and matters are often sensitive, and harmful if disclosed late or incorrectly. Stakeholder deliberations and perspectives need to be safeguarded too while remaining available internally. Affinisio(DMR) is fully internal: you own your data.

Affinisio(DMR) FAQs

What is Affinisio(DMR)?

Affinisio(DMR) is disclosure management and reporting software. It covers both halves of an organisation’s disclosure obligation: the declarations it receives inward from employees, directors, Board members and KMPs (holdings, interests, conflicts, relationships and directorships, amongst others), and the filings it makes outward to exchanges, regulators and statutory authorities. Each such outward obligation is raised, tracked through drafting, review, finalisation and submission, and held as a permanent, searchable record, so the next filing can be answered from the last one. Affinisio(DMR) is fully internal and runs within the organisation’s own environment.

What is the difference between inward and outward disclosures?

Inward disclosures are the declarations your own people are required to provide to the organisation: employees, directors, Board members and KMPs providing disclosures such as holdings, interests, conflicts, relationships and directorships, either on a recurring cycle or when an event such as an appointment or a transaction triggers one. Outward disclosures are the filings the organisation makes to exchanges, regulators, statutory authorities and the public. The two are connected: what is declared inward is often what has to be reported outward, and both are required to be referenced long term, which is why Affinisio(DMR) holds both on one record rather than in two systems.

Is Affinisio(DMR) a whistleblowing system?

No. Whistleblowing systems handle confidential reports of suspected misconduct, usually raised in confidence or anonymously. Affinisio(DMR) handles regulatory, statutory and policy disclosures: the declarations employees, directors, Board members and KMPs are required to provide (such as holdings, interests, conflicts, relationships and directorships), and the filings the organisation makes to exchanges, regulators and statutory authorities. Both involve information moving through an organisation, but the obligations, the people and the records are entirely different.

Does Affinisio(DMR) file disclosures on our behalf?

Where the filing is made by email, yes: Affinisio(DMR) can transmit it and record the transmission. Where the filing is made through a regulator’s portal or in hard copy, Affinisio(DMR) prepares the filing content, tracks the obligation to completion and holds the evidence of submission, but the submission itself is made by your team and recorded back into Affinisio(DMR). In every case the obligation, the documents, the approvals and the proof are held on one record.

Does Affinisio(DMR) assess whether a matter is disclosable?

No. The judgement of whether a matter is disclosable, and in what terms, stays with your people based on external, corporate or market events. Affinisio(DMR) carries the obligation through to closure once the judgement is applied: it raises the disclosure, routes it for drafting, review and finalisation, tracks it to submission and holds the evidence for the long-term record.

Can Affinisio(DMR) be deployed on-premises?

Yes. Affinisio(DMR) is designed for fully internal deployment, on-premises or in your own private cloud, so your declarations, disclosure records, approvals, evidence and reports never leave your control. Because disclosure matters are frequently sensitive before they are made public, the entire workflow, including intimations to your own people, stays inside your perimeter.

Which markets does Affinisio(DMR) serve?

Affinisio(DMR) serves India, Australia, New Zealand, South Africa, the United Kingdom, Sri Lanka, Ireland, Singapore, Malaysia, Saudi Arabia, the United Arab Emirates and the United States of America as its primary markets and can also service organisations in Canada, Jamaica, Bermuda, The Bahamas, the Cayman Islands, Switzerland, the Netherlands, Malta, Cyprus, Hong Kong SAR, the Philippines, Fiji, Nigeria, Kenya, Ghana, Mauritius, Botswana, Namibia, Zimbabwe and Uganda. Affinisio(DMR) is deployable globally.

Do SEBI LODR requirements related to disclosures of acquisitions apply to unlisted entities?

SEBI LODR regulations require disclosure of direct/ indirect acquisition in a company if shares or voting rights aggregating to twenty per cent or more.

Is disclosure required for an event that impacts a subsidiary that is not material?

Management of the disclosures in relation to material subsidiaries vs events that are material to the listed entity.

Why does disclosure management require a centralised system?

A centralized repository of past and future disclosures maintained in a secure, digital space is critical for central access, reporting and versioning.

What events and matters require disclosures?

Adverse reports, non-financial events, RPTs, directorial interests, governance issues, KMP changes, litigations, complaints, ESG risks.
